About these terms

These terms cover this website and the private area behind the login. By using either, you agree to them. If you do not, please do not use the site.

They are written plainly on purpose. If anything here is unclear, ask at hello@middaypc.com rather than guessing.

Who we are

MIDDAY is operated by Ted Engelage as an individual. There is no company behind it.

In these terms, "we" and "us" mean Ted Engelage. "You" means you.

What MIDDAY is

A private, invitation-only monthly lunch in Park City, Utah, for business owners, operators, advisors and service providers. Roughly two hours, once a month, one table. Ted Engelage hosts it.

This website explains what it is, takes a request to be considered for it, and gives people who have been invited a private place to keep a profile, respond to invitations, find each other and talk.

What MIDDAY is not

This matters more than anything else on this page, so it is stated directly.

MIDDAY does not give financial, investment, legal, tax or accounting advice. Nothing on this site (no page, no post, no message, no conversation at a lunch) is advice of any kind, or an offer or solicitation to buy or sell anything. If you need advice, get it from a professional you have engaged for that purpose, in that setting.

MIDDAY does not promise you business. It is not a referral service, a lead service, or a sales channel. No introduction is guaranteed. No outcome is guaranteed. Nobody at the table owes you an introduction, a meeting, or a piece of business, and attendance buys you none of those things.

MIDDAY does not vouch for anyone. Being invited means Ted thought you would be a good addition to a lunch. It is not a recommendation, an endorsement, a credential, or a background check. You are responsible for your own diligence before doing business with anyone you meet here. Confirm their licensing, their references and their fitness for what you need. We have not done that for you.

About the host

Ted Engelage is a Financial Advisor at Edward Jones. MIDDAY is his own personal activity, not part of that job. It has been disclosed to Edward Jones and approved by them as an outside business activity.

Approval is not endorsement. Edward Jones does not sponsor MIDDAY, does not endorse it, does not supervise what happens at a lunch, and is not responsible for it. Nothing on this site, in the private area, or at the table is a communication from Edward Jones, and nothing here is reviewed or approved by them.

Ted may talk about what he does for a living, the same as anyone else at the table. That is a conversation, not advice. It does not make you a client, and it does not create a professional relationship of any kind between you and him or between you and Edward Jones.

If you want advice, ask for it properly: in that setting, with the paperwork that goes with it. A lunch is not that setting.

Getting in

Access is by invitation and approval. There is no self sign-up. You can ask to be considered by using the request form, and Ted decides.

We may decline any request, for any reason or none, without explaining. That is not personal and it does not mean anything is wrong with you or your business, a table only has so many seats and it has to stay balanced.

Being pre-approved on a list, or having attended before, does not by itself grant you an account. A request still gets reviewed.

We may also end someone's access at any time, described below.

Your account

You are responsible for your own login. Keep it to yourself, do not let anyone else use it, and tell us at support@middaypc.com straight away if you think someone has got into it.

Give us information that is true, and keep your profile current. Do not pretend to be someone else, and do not claim a role, a company or a credential that is not yours.

One person, one account.

You may close your account at any time. Write to support@middaypc.com.

The rules of the room

These are the same six principles the lunch runs on. Inside the private area they are terms, not decoration.

• Lead with value. Come with something useful: an insight, an introduction, a resource. Take less than you give.
• No pitching. Talk about what you do. Do not sell what you do. This is a table, not a sales floor.
• Keep the room private. What is said at a lunch, and what is written in the private area, is shared in confidence.
• Be present. The best conversations happen when everybody is actually in them.
• Bring the right people. Invitations matter. Anyone who changes the room the wrong way changes the room.
• Give a heads up. If you cannot make it, say so plainly and early.

Confidentiality

Treat what you learn here as confidential. Market intelligence, candid assessments, personal circumstances, business difficulties, people say those things at this table because they expect them to stay at this table.

Do not repeat what someone told you in confidence. Do not publish it, post it, or forward it. Do not use it against them.

Introductions are made with permission. Do not pass someone's name, contact details or situation along to a third party without asking them first.

This survives you leaving. It applies after your account is closed just as much as while it is open.

Contact details are for one purpose

When you accept a connection, that person can see your business contact details. They are for talking to you.

They are not a mailing list. Do not add anyone you meet here to a newsletter, a marketing campaign, an automated sequence, or a bulk message. Do not export or compile contact details. Do not scrape the site.

Doing any of that is the fastest way to lose your seat.

Things you may not do

• Publish, post or share any member's name, profile, contact details, photo or message outside the private area.
• Post anything unlawful, harassing, threatening, hateful, or deliberately false.
• Post anything you do not have the right to post, including someone else's work.
• Post investment advice, performance figures, projections, guaranteed returns, or a solicitation to buy or sell anything.
• Post a testimonial or an outcome claim about anyone, including yourself.
• Recruit for another group, sell a service, or run a promotion in the private area.
• Try to get around the privacy controls, reach information you are not meant to see, or interfere with how the site works.
• Use anything automated to collect information from the site.

What you post

What you write stays yours. We do not claim ownership of your profile, your posts, your messages, or your photos.

By posting, you give us permission to store and display it inside MIDDAY (the private area, and the room display where an agenda calls for it) so the site can do its job. That permission ends when the content comes down, except where we have to keep an operating record.

You are responsible for what you post, and you confirm you have the right to post it.

We can remove content. If something breaks these terms, Ted can remove a post or a reply, close a discussion, or remove content from a profile. He may do it without warning where it is serious.

Members can report a post. If you see something that needs attention, report it. Reports go to Ted only. The person who wrote the post is not told who reported it. Do not use reporting to settle a disagreement.

Events, RSVPs and guests

Responding that you are coming is a real commitment. Seats are limited and somebody else could have had yours. If your plans change, change your response.

If you bring a guest, you are responsible for them: their conduct, and their understanding of the rules of the room, including confidentiality. Give them the short version before they arrive.

Guests check in with their own contact details. Ted sees them. The member who invited a guest sees the address they typed in. No other member sees it.

Events can be changed, moved or cancelled. We will tell you as early as we can.

Ending your access

You can leave whenever you want. Write to support@middaypc.com.

We can end your access at any time, with or without notice, if you break these terms, if you make the room worse, or if MIDDAY stops running. We will usually tell you why, and we are not obliged to.

When access ends, your profile stops being visible to other members. Your confidentiality obligations continue.

We may keep records of past attendance and past administrative actions as an operating record. Everything else, ask us to delete and we will. See the Privacy page.

Our own material

The MIDDAY name, the seal and eclipse mark, the writing on this site, and the design of it are ours. Do not copy them, do not use them to suggest we endorse you or are involved with you, and do not use them for your own purposes without asking.

You may of course say that you attend MIDDAY. You may not use the mark to imply a partnership, a sponsorship, or an approval that does not exist.

The site itself

We try to keep this site working and accurate. We cannot promise it will always be available, always be error-free, or never lose anything. It is provided as it is.

We are not responsible for what other people do. Not for what another member says or writes, not for the accuracy of anyone's profile, and not for how any business arrangement between you and someone you met here turns out. Those are between you and them.

To the fullest extent the law allows, we are not liable for indirect or consequential losses: lost business, lost profit, lost opportunity, lost data: arising out of your use of this site or your attendance at a lunch. Where liability cannot be excluded, it is limited to the amount you have paid us, which is ordinarily nothing.

Nothing here limits liability for anything that cannot lawfully be limited.

You agree to cover us for claims arising from your own breach of these terms or your own unlawful conduct.

Governing law

These terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any dispute goes to the state or federal courts located in Utah, and you agree to those courts hearing it.

The rest

If part of these terms turns out to be unenforceable, the rest still stands.

If we do not enforce something straight away, we have not given up the right to enforce it later.

These terms, together with the Privacy page, are the whole agreement between us about the site.

You may not transfer your account or these terms to anyone else.

Changes to these terms

We may update this page. If we do, we will change the date at the top. If the change is significant, we will tell members directly rather than quietly editing and hoping you notice. Continuing to use the site after that means you accept the change.
